1. Eligibility

2.3 Seller Verification
Sellers and service providers may be required to complete identity verification, provide business licenses, tax information, or other documentation before listing products or services, or receiving payouts.
2.4 One Account Per User
Unless otherwise authorized, each individual or business may maintain only one account. Duplicate accounts created to evade suspension or restrictions are prohibited.
3. Our Role as a Marketplace
HayyWorld provides a platform that connects buyers and sellers. Unless expressly stated otherwise:
- We are not a party to the contract of sale or service between buyers and sellers
- We do not own, manufacture, inspect, or control the quality, safety, or legality of listed products or services
- Sellers are solely responsible for the accuracy of their listings, fulfillment, and compliance with applicable laws (e.g., product safety, licensing, consumer protection, tax obligations)
- Buyers are responsible for evaluating listings and making informed purchasing decisions
We may, at our discretion, facilitate payments, dispute resolution, or guarantees (e.g., buyer protection programs) as separately described on the Platform, but doing so does not make us a party to the underlying transaction.
4. Listings and Content
4.1 Seller Listings
Sellers agree that all listings will:
- Accurately describe the product or service, including price, condition, and availability
- Comply with all applicable laws, including product safety, labeling, and licensing requirements
- Not infringe the intellectual property, privacy, or other rights of any third party
- Not include prohibited or restricted items (see Section 6)
4.2 User-Generated Content
By submitting content to the Platform (listings, reviews, photos, messages, etc.), you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, use, display, reproduce, and distribute that content in connection with operating and promoting the Services.
You represent that you own or have the necessary rights to submit such content, and that it does not violate any third party's rights.
4.3 Reviews and Ratings
Reviews must reflect genuine experiences. Fake, incentivized (undisclosed), defamatory, or manipulated reviews are prohibited and may be removed.
5. Payments, Fees, and Taxes
5.1 Payment Processing
Payments are processed through third-party payment processors. By making or receiving payments, you agree to the applicable processor's terms.
5.2 Fees
We may charge listing fees, transaction/commission fees, subscription fees, or payment processing fees, as described in our [Fee Schedule]. Fees are subject to change with reasonable notice.
5.3 Taxes
Sellers are solely responsible for determining and remitting any applicable taxes (sales tax, VAT, GST, income tax, etc.) arising from transactions on the Platform, except where we are legally required to collect and remit taxes on your behalf.
5.4 Refunds and Cancellations
Refund and cancellation terms are set out in our [Refund Policy] and, where applicable, individual seller policies, which must comply with our minimum standards and applicable consumer protection law.
6. Prohibited Conduct and Ethical Standards
We are committed to maintaining a trustworthy, safe, and ethical marketplace. In addition to complying with all applicable laws, you agree not to:
6.1 Legal Violations
- List or sell counterfeit, stolen, recalled, or illegal goods
- Violate intellectual property, publicity, or privacy rights of others
- Engage in fraud, money laundering, or deceptive trade practices
- Violate export control, sanctions, or anti-corruption laws
- Circumvent the Platform to avoid fees ("off-platform" transactions), where prohibited by these Terms
- Manipulate prices, reviews, rankings, or engage in bid manipulation
6.2 Ethical Standards
Beyond strict legal compliance, we hold our community to ethical standards consistent with our mission and values. You agree not to:
- List or promote products or services that, while not necessarily illegal, are exploitative, deceptive, or promote harm (e.g., discriminatory services, exploitative labor practices, environmentally harmful practices we have flagged as prohibited)
- Discriminate against buyers, sellers, or service recipients on the basis of race, religion, gender, sexual orientation, disability, or other protected characteristics
- Engage in harassment, hate speech, threats, or abusive behavior toward other users or our staff
- Misrepresent your identity, qualifications, or the nature of your business
- Exploit vulnerable users, including through manipulative sales tactics or misleading pricing
- Engage in conduct that, in our reasonable judgment, undermines trust and safety on the Platform, even where such conduct is not independently unlawful
6.3 Platform Integrity
You also agree not to:
- Interfere with the operation of the Services (e.g., hacking, introducing malware, scraping without authorization)
- Create multiple or fraudulent accounts
- Use bots or automated means to access the Services without permission
- Reverse-engineer or attempt to extract source code from the Platform
7. Right to Refuse, Suspend, or Terminate Service
7.1 General Right
We reserve the right, in our sole and reasonable discretion, to refuse service, suspend, restrict, or terminate any account or access to the Services, at any time, with or without notice, including but not limited to circumstances where we determine that a user has:
- Violated any provision of these Terms, our Privacy Policy, Cookie Policy, or any other posted policy;
- Violated applicable law, regulation, or the legal rights of a third party;
- Violated the ethical standards set out in Section 6.2 or otherwise embodied in our community guidelines, even absent a specific legal violation;
- Engaged in conduct that we determine, in good faith, poses a risk to the safety, security, trust, or reputation of the Platform, its users, or the public;
- Provided false, misleading, or fraudulent information during registration, verification, listing, or transactions;
- Failed to pay applicable fees, chargebacks, or amounts owed to us or other users;
- Been the subject of an unreasonable volume of substantiated complaints from other users.
7.2 Process
Where practicable and not contrary to legal or safety considerations, we will:
- Provide notice of the specific concern
- Offer an opportunity to respond or remediate, where appropriate to the severity of the issue
- Communicate the outcome of any enforcement decision
We are not obligated to provide advance notice where immediate action is necessary to prevent harm, fraud, or legal violations, or where notice would be unlawful (e.g., due to a legal investigation).
7.3 Effect of Termination
Upon suspension or termination:
- Your right to access and use the Services immediately ceases
- Pending transactions may be cancelled, held, or completed at our discretion, subject to applicable law and any buyer/seller protection commitments
- We may retain and use your data as described in our Privacy Policy, including for legal compliance, dispute resolution, and fraud prevention
- Outstanding obligations (e.g., unpaid fees, fulfillment of confirmed orders, indemnification obligations) survive termination
7.4 No Liability for Enforcement Actions
To the fullest extent permitted by law, we are not liable to you or any third party for any refusal, suspension, restriction, or termination of access to the Services undertaken in good faith under this Section.
7.5 Appeals
If you believe an enforcement action was taken in error, you may submit an appeal to legal@hayyworld.com within [30] days. We will review appeals in good faith but retain final discretion over enforcement decisions.
8. Intellectual Property
8.1 Our IP
The Platform, including its design, text, graphics, logos, and software, is owned by Centasys or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
8.2 Trademarks
HayyWorld and associated logos are trademarks of Centasys. You may not use them without prior written consent.
8.3 Copyright Complaints (DMCA / Notice-and-Takedown)
If you believe content on the Platform infringes your copyright, please submit a notice to legal@hayyworld.com including the information required under the DMCA (or applicable local law). We will respond in accordance with applicable law, which may include removing content and/or terminating repeat infringers' accounts.
9. Disclaimers
THE SERVICES AND ALL LISTINGS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
We do not warrant that:
- The Services will be uninterrupted, secure, or error-free
- Listings are accurate, complete, or free of defects
- Any seller or buyer will fulfill their obligations
- Products or services purchased will meet your expectations
Nothing in this section limits any statutory rights that cannot lawfully be excluded (e.g., certain consumer protection guarantees).
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CENTASYS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES YOU PAID TO US IN THE [12] MONTHS PRECEDING THE CLAIM, OR (B) [£100 / LOCAL EQUIVALENT].
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Centasys and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services
- Your listings, products, or services
- Your breach of these Terms, including any legal or ethical violation described in Section 6
- Your violation of any third party's rights
12. Dispute Resolution
12.1 Buyer-Seller Disputes
Disputes between buyers and sellers should first be addressed through our [Resolution Center / Support Team], which may facilitate (but is not obligated to resolve) disputes.
12.2 Disputes with Us
Any dispute shall be subject to the exclusive jurisdiction of the courts of England & Wales, and you consent to personal jurisdiction there. Nothing in this Section limits any right you may have to bring proceedings in your local courts under mandatory consumer protection law.
12.3 Governing Law
These Terms are governed by the laws of England & Wales, without regard to conflict of law principles, except where mandatory local consumer protection law requires otherwise.
13. Modifications to the Services and Terms
We may modify, suspend, or discontinue any part of the Services at any time. We may also update these Terms periodically. Material changes will be notified via email or a prominent notice on the Platform, with an updated "Last Updated" date. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
14. Termination by You
